These Terms of Use (the "Terms") are an agreement between you and Modevo AI Company (a limited liability company) ("Modevo", "we", "us"), Commercial Registration No. 7055105857, VAT No. 314997179700003. They apply to modevo.sa and to the Modevo service at app.modevo.studio when you use it as a customer in the Kingdom of Saudi Arabia.
By creating an account, buying a plan or using the service, you accept these Terms, our E-commerce Policy and our Acceptable Use rules in section 9. Our Privacy Policy explains how we handle personal data; it is information, not a contract you need to sign.
1. Definitions
"Service" or "Platform": the Modevo web application and the AI image and video generation services offered through it.
"Credits": prepaid units used to run generations in the Service.
"Content": anything you upload, such as garment and product images and instructions.
"Output": images, videos and other material the Service generates for you.
"Plan": a free or paid subscription level, or a one-time credit pack, as shown in the app.
"Business Customer": a customer using the Service for commercial or professional purposes. "Consumer": a customer acting outside any trade or profession.
2. Who can use Modevo
You must be at least 18 years old and have full legal capacity. If you use Modevo for a company or brand, you confirm that you are authorised to bind it, and actions taken through its accounts bind it.
Keep your information accurate and your login details confidential. You are responsible for activity under your account until you tell us about unauthorised use at amro@modevo.studio. You may not sell, rent or share your account or its Credits.
3. The Service
Modevo lets you create AI generated fashion models, place your garments on them in chosen scenes, edit generated images and create short videos. The current features are listed in the app.
Modevo is a creative tool, not a promise of a specific result. AI can produce different results from the same inputs, and Outputs may contain errors in logos, text, anatomy, detail or colour. You are responsible for reviewing Outputs before you publish them.
Models and faces are fully AI generated and do not depict real people. Generation is automated and automated safety filters may reject requests. Some of the infrastructure we use is located outside the Kingdom.
You need your own device and internet connection. We may carry out maintenance and will give reasonable notice of planned work expected to cause significant disruption.
4. Credits
Each generation type costs a number of Credits shown in the app before you run it.
Credits come from monthly subscription allowances, one-time packs, the free plan or promotions.
Each Credit top-up is valid for 6 months from the date it is added. We email a reminder before Credits expire. Expired Credits cannot be used or refunded.
Credits have no cash value, are not electronic money, and cannot be exchanged, transferred between accounts or sold.
Free plan and promotional Credits are given free of charge; we may change or withdraw unused promotional Credits.
If a generation fails for a technical reason and produces nothing, its Credits are returned to your balance automatically.
5. Subscriptions and renewal
Subscriptions are billed monthly or yearly and renew automatically at the end of each billing period until you cancel. With yearly billing, the 12 month price is charged up front and Credits are added each month. Your renewal date and price are always visible in the app.
You can cancel at any time from the subscription section of the app or by emailing amro@modevo.studio. Cancelling is never harder than subscribing. Cancellation stops the next renewal; Credits already added stay usable until they expire. Refund rights are set out in our E-commerce Policy.
If a renewal payment fails, we will tell you, retry the charge and give you 7 days to pay. After that the subscription is paused; your existing Credits remain valid until they expire.
6. Prices, payment and invoices
Prices are in Saudi riyals (SAR). Plan prices on modevo.sa are shown excluding VAT, with 15% VAT added and the total including VAT always shown before you pay. There are no hidden fees.
Payments are processed by MyFatoorah. We do not store card details. Saving a card for renewals happens only with your consent and is held by the payment provider.
We issue a VAT invoice for every payment in line with the Zakat, Tax and Customs Authority (ZATCA) e-invoicing rules. Business Customers should add their VAT number and legal name before paying.
We may change prices or Plan contents. For existing subscriptions, changes apply only from the next billing period and only after at least 30 days' notice. If you do not accept the change, you can cancel before it applies.
Enterprise agreements may use bank transfer and a separate quotation, which prevails over these Terms where they conflict.
7. Your Content
You keep all rights in your Content. You grant us, and the service providers who host and operate the platform for us, a worldwide, royalty free licence to host, process and use your Content and Outputs to provide, secure and improve the Service. We use data for improvement in de-identified or aggregated form wherever possible.
We may show Outputs that contain no personal data as examples of what Modevo can do. If you do not want your Outputs used this way, tell us at amro@modevo.studio and we will stop.
You confirm that you own or are licensed to use your Content, that it does not infringe anyone's copyright, trademark, design or other rights, and that you will follow the Saudi Copyright Law and the regulations of the Saudi Authority for Intellectual Property.
8. Rights in Outputs
Subject to these Terms and payment of your Plan, you receive a worldwide, perpetual licence to use the Outputs you generate, including on social media and for commercial purposes such as e-commerce listings and advertising. Rights already granted for paid periods are never reduced retroactively. Free plan Outputs may carry a Modevo watermark.
The underlying intellectual property in the Platform, its models and the Outputs remains with Modevo and its licensors. Similar Outputs may be generated for other users, and you do not get exclusive rights in an Output.
When you publish Outputs, you are responsible for complying with advertising, consumer protection and AI content disclosure rules that apply to you, including guidance issued by the Saudi Data and Artificial Intelligence Authority (SDAIA) on synthetic and deepfake content.
9. Acceptable use
Modevo is for legitimate commercial fashion and product imagery, including garments for all ages. You may not use it to create, upload or publish:
Any sexualised content involving children, or any child model in an indecent or inappropriate context.
Nudity, intimate imagery, or attempts to "undress" people in existing images.
Images of real people without their consent, content that presents a real person as genuine when it is not, or images of public figures without permission.
Fake identity documents, official records or anything designed to deceive authorities.
Content that violates public order, public morals or Islamic values, or that is prohibited under the Anti-Cyber Crime Law or other Saudi laws.
Fraud, misleading advertising, false offers, hate speech, glorification of violence, or promotion of illegal goods or services.
Counterfeit goods or trademarks, logos and designs you have no right to use.
You also may not reverse engineer the Service, scrape it, use unauthorised automation, bypass security or usage limits, abuse the Credit system or commercialise account sharing.
We are not required to monitor Content in advance, but we may review, remove or block content, stop generations, and cooperate with competent authorities as the law requires. To report content that infringes your rights, write to amro@modevo.studio.
10. Our intellectual property
The Platform, its software, interface, design, text and the Modevo name and logo belong to Modevo or its licensors. We give you a limited, non-exclusive, non-transferable right to use the Platform under these Terms. You may not copy, resell or republish it.
11. Disclaimer
To the extent Saudi law allows, the Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted or error free, that Outputs will be unique or free of third party rights in every context, that they will achieve any sales or engagement result, or that the Service will suit every specific need. Features marked beta or trial may change or be removed.
Outputs must not be used as evidence, official documents or proof of real events. Nothing in these Terms limits rights that Saudi law gives you and that cannot be waived.
12. Liability
Except in cases of fraud, wilful misconduct or gross negligence, and to the extent Saudi law allows, we are not liable for indirect loss, including loss of profit, revenue, reputation, data or business.
For Business Customers, our total liability under these Terms is limited to the fees you paid us in the 3 months before the event giving rise to the claim.
You are responsible for your Content, for how you use and publish Outputs and for any breach of these Terms. If a third party claims against us because of that, you will compensate us for resulting losses and reasonable legal costs, and we will notify you of the claim promptly.
13. Suspension and closing accounts
We may suspend or close an account, in proportion to the issue, for non-payment, breach of these Terms, suspected fraud, a chargeback under review, security risk, illegal content or a request from a competent authority. In serious or urgent cases we may act without prior notice; otherwise we will tell you first. You can object by writing to amro@modevo.studio.
If we close your account because you breached these Terms, unused Credits and remaining subscription time are not refunded, unless Saudi law requires otherwise. If we stop the Service or close your account without any breach by you, we refund the price of purchased, unused Credits.
You can delete your account at any time. Deleting it ends your remaining Credits; if you want to keep using them, cancel your subscription instead. If you hold an active subscription, a deletion request also counts as a cancellation and keeps any refund right you already have.
14. Events outside our control
We are not responsible for delay or failure caused by events beyond our reasonable control, such as natural disasters, epidemics, war, general network or power failures, cyber attacks, government action, or restrictions imposed by infrastructure providers. In such cases our obligation is limited to refunding unused Credits or the fees for the period you could not use the Service, without affecting your statutory rights.
15. Changes to the Service and these Terms
We may add, change or remove features, adjust Credit costs and set fair use limits, without removing rights already paid for in an active period.
We will give at least 30 days' notice by email or in the app of changes to these Terms that could work against you, including price changes. If you do not accept them, you can cancel and close your account before they take effect. Changes that only benefit you, or correct wording, can apply immediately.
16. Personal data
We handle personal data under the Personal Data Protection Law and our Privacy Policy. The Platform does not perform face recognition and does not process biometric data.
17. Notices and language
We send notices to the email address on your account or inside the app; keep it up to date. You can send notices to amro@modevo.studio or to our registered address.
These Terms are published in Arabic and English. If the two versions differ, the Arabic version prevails. Our system records of acceptance and transactions may be used as evidence, without limiting your own rights of proof.
You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or restructuring, keeping your rights intact and telling you. If any clause is found invalid, the rest remains in force.
18. Governing law and disputes
These Terms are governed by the laws of the Kingdom of Saudi Arabia.
Please contact us first at amro@modevo.studio; we aim to resolve complaints amicably within 30 days. If that fails, the competent courts in Riyadh have jurisdiction, and the Commercial Court where the dispute is between businesses. Consumers keep the right to file a complaint with the Ministry of Commerce (call 1900, the Balagh Tijari app or mc.gov.sa).
